1. Agreement and Scope

These Terms of Service ("Terms") govern access to and use of AVENZERS Cloud ("Service", "we", "our", or "us"), a cloud-file management and collaboration application. The Service is operated by AVENZERS GROUP, a Bangladesh-registered proprietorship based in Dhaka. By registering, accepting these Terms where prompted, or accessing the Service, you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you have authority to act for that organization to the extent you accept obligations on its behalf.

If you do not agree, do not create an account or use the Service.

2. Eligibility and Accounts

You must be at least 18 years old, legally capable of agreeing to these Terms and not prohibited from using the Service by applicable law. Availability is intended worldwide, subject to regional legal, sanctions, export and service restrictions.

Provide accurate account information where required, protect your credentials, and notify us of suspected unauthorized access. You are responsible for actions taken through your account except to the extent caused by our own acts or failures for which applicable law holds us responsible. Do not share passwords, authentication tokens, or access to accounts that do not belong to you.

Google Sign-In authenticates your AVENZERS account and does not automatically grant Google Drive file access.

3. Service Features and Availability

The Service is designed to support personal file management, managed cloud storage, optional Google Drive connections, messages, groups, channels, and team workspaces. Actual available features depend on the released product, region, authorization, connected-provider capabilities, and service plan. Any previewed, planned, or disabled capability is not a contractual promise that it is already available.

We may maintain, modify, suspend, or discontinue features, subject to applicable law, reasonable notice where required, and users' rights regarding their content.

4. Your Content and Limited Permission to Operate the Service

You keep the rights you lawfully hold in files, messages, photographs, and other content you upload, submit, or share ("User Content"). You are responsible for having the rights, permissions, and legal basis to upload and share it.

You grant the Service a limited, non-exclusive permission to store, process, transmit, display, convert for supported previews, and otherwise handle User Content only as necessary to provide the features you choose, protect the service, enforce these Terms, or comply with law. This permission is not a transfer of ownership and is not a license to advertise with or sell your private content.

Private content is not made public merely by connecting storage or posting within a restricted workspace. When you share content, authorized recipients may access it under the applicable permissions. Recipients may retain legitimately downloaded copies that cannot be technically recalled.

5. Storage Providers and Third-Party Accounts

AVENZERS Storage. Files you place in managed storage may be subject to displayed quotas, permitted file types, upload limits, security checks, and fair-use restrictions. No unlimited storage or permanent availability is promised.

Google Drive. Connecting Google Drive is optional and requires separate, explicit Google authorization. The integration is intended to request narrow file-level access, generally using Google's drive.file scope, not unrestricted access to your Drive. Original files ordinarily remain in your Google account. You remain subject to Google's terms, storage limits, and account controls. Disconnecting Drive stops future access through AVENZERS when processed but generally does not delete your original Google Drive files.

Other connected storage. Future supported third-party providers may impose their own agreements, charges, permissions, limits, and availability conditions. Do not treat unreleased connectors as available.

A storage provider becoming unavailable, suspending an account, revoking permission, deleting content, or changing its API can prevent AVENZERS Cloud from accessing files. AVENZERS Cloud is not an independent backup guarantee for files held solely in another provider.

6. File Management, Sharing, and Permissions

You may manage or share files through features permitted by the Service and your provider. Sharing controls and workspace roles determine who may attempt access. Actual access is also subject to authorization checks, provider permissions, account status, and network availability.

Our intended default is private sharing. We will not silently make Google Drive files available to anyone with the link. Sending an AVENZERS file reference does not necessarily change native Google Drive permissions.

You must not circumvent access controls, obtain files without permission, or misuse shared content. Removing a participant or revoking access generally affects future requests; it cannot necessarily invalidate previously downloaded copies.

7. Workspaces, Groups, and Administration

A workspace may have owners, administrators, moderators, managers, or members with different privileges, depending on its configured role model. Authorized workspace or channel personnel may invite or remove members, configure access, moderate content, or manage organizational resources as allowed by the application.

If you join a workspace, your participation and content visibility depend on that workspace's settings and the rights of other authorized participants. You should not assume a workspace invitation automatically grants access to every private file or channel.

Organization-owned data remains under the organization's authorized control. To close a sole owner's personal account, ownership must first be transferred to a consenting, eligible existing Admin. If none is available, deletion is blocked until resolved; continuing organization-owned files, channels, memberships and messages are preserved as lawfully appropriate.

8. Acceptable Use

You must comply with our Acceptable Use Policy and applicable law. Among other things, you must not:

  • distribute malware, phishing material, or harmful executable content;
  • infringe others' intellectual property, privacy, or confidentiality rights;
  • harass, threaten, exploit, or impersonate other people;
  • access or share files without proper authorization;
  • send spam or abuse invitations, mentions, storage quotas, or APIs;
  • bypass rate limits, account limits, security controls, or provider rules;
  • use the Service to facilitate unlawful activity.

We may investigate reported violations and take proportionate action subject to applicable law, relevant rights, and available operational capabilities.

9. Security and Backups

We use or plan technical safeguards appropriate to the Service's infrastructure and risks; their exact deployment status remains under review. The Service is not represented as end-to-end encrypted unless that capability has been deployed and validated. No online storage service is risk-free. Maintain copies of important content according to your own backup needs, especially when using external providers.

10. Plans, Fees, Renewals, Cancellation, and Quotas

The intended service offers a Free Plan and paid monthly, yearly, and separately negotiated Enterprise plans. Actual price, included features, free quotas, taxes, payment methods, supported currencies and processing fees will be disclosed before purchase. Multi-currency prices depend on location and the chosen processor's supported currencies; do not infer payment support from a currency shown in a design. The merchant/payment processor has not yet been selected, and no active paid checkout is claimed.

Where supported, paid users choose automatic renewal or manual renewal at checkout. Automatic renewal requires express authorization and disclosure of recurring amount/frequency; users can turn future renewal off. Manual subscriptions require an affirmative new payment and will not charge automatically. Enterprise contracts may specify different negotiated billing, termination and service levels.

Owner-requested cancellation: Cancelling an active Paid Plan results in immediate Free Plan downgrade, rather than retaining premium features to the end of the paid period. Payments are generally non-refundable, including unused time, subject to duplicate charges, billing errors, qualifying service failures, applicable statutory rights and expressly agreed contract terms. Stop future auto-renewal charges upon a valid cancellation. Required renewal/cancellation disclosures must be conspicuous at checkout. This planned model has not been made available for purchase.

Failed automatic renewal: If an attempted recurring payment fails, intended Paid Plan privileges remain active for a 7-day payment grace period while the user can retry/update payment. If not paid within that period, downgrade to Free; do not automatically delete existing files.

Managed storage over Free quota: Existing personal AVENZERS-managed files remain readable/downloadable/deletable after downgrade even when usage exceeds the Free quota; new uploads are blocked until usage is under the applicable quota. Quota-triggered auto-deletion is prohibited. This does not override a valid account-deletion request, provider outage or compulsory legal obligations.

External storage is paid-only: On downgrade, all supported external storage integrations are suspended, not used for file API operations on the Free Plan. Encrypted OAuth credentials may be retained while the AVENZERS account remains active. When paid service resumes, reconnectivity depends on still-valid permission; new authorization may be required. Original external-provider files are untouched. Existing in-app messages and attachment references remain, but their preview/download through AVENZERS is blocked until paid service, provider authorization, file availability and recipient rights are revalidated. Billing, payment grace periods, quota downgrade rules, and external-storage suspension or reactivation are not currently represented as available operational features.

11. Suspension, Termination and Account Closure

We may restrict access to investigate material abuse, unauthorized access, fraud, security threats or legal requirements. Where reasonable, we offer notice and a way to contest a decision; urgent safety/security issues may require immediate action. Users can report issues to support@avenzers.tech; An automated appeals portal is not represented as available.

Once a verified deletion request is accepted, our intended account-deletion design ends access immediately with no recovery period, removes eligible active personal data and user-owned managed files within 30 days (lawful exceptions apply), and revokes external-provider connections without deleting external original files. In other participants' conversations, messages remain attributed to Deleted User with identifying profile name/avatar removed. Valid organization-owned material continues to belong to the organization, and sole organization owners must transfer ownership to a consenting eligible existing Admin before deletion.

Self-service account deletion and complete account-wide export are not currently available as verified workflows. Contact AVENZERS support for account or data assistance. See the Data Deletion Policy and Data Export Policy.

12. Intellectual Property

The Service's original software, branding, interface, and documentation are owned by or licensed to the operator or relevant rights holders. Except for permissions explicitly granted, you receive no ownership rights in them. AVENZERS and AVENZERS Cloud are not represented as affiliated with Google, Cloudflare, Supabase, or other integration providers.

13. Feedback and Notices

If you provide product feedback, we may use it to improve the Service without acquiring ownership of unrelated private User Content. Security, policy, and service notices may be sent using the contact details or in-app channels available for your account, in accordance with law and notification settings.

14. Disclaimers

To the maximum extent permitted by applicable law, the Service is provided on an "as available" basis and may be interrupted by maintenance, provider failures, authentication issues, or other factors. We do not promise error-free or uninterrupted operation, universal file-format support, or third-party provider availability. Nothing in these Terms excludes rights or warranties that applicable law does not permit us to exclude.

15. Liability

No specific monetary cap is included in this draft. No arbitrary liability cap is imposed by this draft. Nothing in the eventual terms should purport to waive non-waivable statutory rights or exclude liability where such exclusion is prohibited.

16. Changes to Terms

For material changes we intend to give normally 30 days' advance notice through suitable channels, except when urgent legal, security, or emergency changes reasonably require faster action. For subscription price changes, the intended practice is at least 30 days' advance notice before the affected renewal, together with any legally required consent, cancellation rights or refunds. Additional affirmative agreement will be requested when law requires it.

17. Governing Law and Disputes

These Terms are intended to be governed by the laws of Bangladesh, with disputes subject to competent courts in Bangladesh except to the extent that mandatory consumer-protection, jurisdiction, venue or other non-waivable rights of the user's country of residence apply. Nothing in this clause deprives consumers of rights that applicable law does not permit them to waive. Users may contact support@avenzers.tech first to try to resolve disputes informally; this does not restrict statutory remedies. An applicable signed Enterprise agreement may specify additional lawful dispute arrangements.
